By accessing or using Merlin (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Merlin ("we", "our", or "us").

2. Description of Service

Merlin is a trading intelligence and analytics platform that helps traders analyse their performance, identify behavioural patterns, and improve their trading discipline. The Service includes trade data import, performance analytics, AI-powered insights, behaviour tracking, journaling tools, and subscription-based premium features.

3. Important Disclaimer

Merlin is an analytics and educational tool only. The Service does not provide financial advice, investment recommendations, or trading signals. Nothing on this platform should be construed as a recommendation to buy, sell, or hold any financial instrument. Trading in financial markets involves substantial risk of loss and is not suitable for all investors. Past performance is not indicative of future results. You are solely responsible for your own trading decisions.

4. Account Registration

To use the Service, you must create an account through our authentication provider. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorised access
Accept responsibility for all activities under your account

You must be at least 18 years old to create an account and use the Service.

5. Subscription Plans and Billing

5.1 Free Plan

The Free plan provides access to basic trading analytics features at no cost. Feature availability may change at our discretion.

5.2 Paid Plans (Pro and Premium)

Paid plans are billed monthly through Stripe. Prices are displayed in British Pounds (GBP) and are subject to change with 30 days' notice. All prices are exclusive of applicable taxes unless stated otherwise.

5.3 Free Trial

New users may be eligible for a 7-day free trial of paid features. Only one trial per user is permitted. At the end of the trial period, your subscription will automatically convert to a paid plan unless cancelled before the trial ends.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through the billing settings or Stripe portal. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods. If you cancel during a free trial, no charges will be applied.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorised access to the Service or its systems
Upload malicious content, viruses, or harmful code
Reverse engineer, decompile, or disassemble any part of the Service
Use automated tools to scrape or extract data from the Service
Share your account credentials with third parties
Resell or redistribute the Service without our written consent
Upload fabricated or fraudulent trading data

7. Intellectual Property

The Service, including its design, code, analytics algorithms, AI models, and content, is owned by Merlin and protected by intellectual property laws. You retain ownership of the trading data you upload. By uploading data, you grant us a limited licence to process and analyse it solely for the purpose of providing the Service to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, Merlin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or trading losses, arising from your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim. The Service is provided "as is" without warranties of any kind, express or implied.

10. Indemnification

You agree to indemnify and hold harmless Merlin, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

12. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users. You may delete your account at any time through the account settings. Upon termination, your data will be handled in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service.
